These Terms of Service ("Terms") govern your access to and use of the Echova Studio website at echovastudio.com ("Website") and the Echova Studio desktop application ("App"). By accessing our Website or using our App, you agree to be bound by these Terms.

2. Description of Service

Echova Studio is a desktop application that enables users to generate AI-powered voiceovers locally on their own devices. Key features include:

• Text-to-speech voice generation using AI models
• Voice cloning capabilities (with user-provided voice samples)
• Audio editing and export functionality
• Local processing (no cloud uploads of your content)

The App is available in two tiers: a Free version with limited features, and a Pro version with full functionality available through a one-time purchase.

3. Eligibility

To use Echova Studio, you must:

• Be at least 16 years of age
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the service under applicable laws

By using the App or Website, you represent and warrant that you meet these eligibility requirements.

4. License Grant

4.1 Free Version

We grant you a limited, non-exclusive, non-transferable, revocable license to use the free version of Echova Studio for personal or commercial purposes, subject to the limitations of the free tier (including watermarked exports and feature restrictions).

4.2 Pro Version

Upon purchase of a Pro license, we grant you a perpetual, non-exclusive, non-transferable license to use the Pro version of Echova Studio, subject to the following terms:

• Device Limit: Each Pro license may be activated on up to 2 devices simultaneously.
• Personal Use: The license is granted to you personally and may not be shared, resold, or transferred to others.
• Updates: You are entitled to free updates to the current major version of the App.

4.3 Restrictions

You may NOT:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App
• Modify, adapt, or create derivative works of the App
• Remove, alter, or obscure any proprietary notices or labels on the App
• Use the App to develop competing products
• Circumvent, disable, or interfere with security features or license enforcement mechanisms
• Share, sell, rent, lease, or sublicense your license to others
• Use automated means to bypass license restrictions or device limits

5. Acceptable Use Policy

Echova Studio provides powerful voice generation and cloning capabilities. You agree to use these capabilities responsibly and lawfully. Specifically, you agree NOT to use Echova Studio to:

5.1 Prohibited Uses

• Impersonation: Create voice content that impersonates real individuals without their explicit consent
• Fraud: Generate audio for fraudulent purposes, including scams, phishing, or deceptive practices
• Harassment: Create content intended to harass, threaten, intimidate, or harm others
• Misinformation: Generate fake audio designed to spread false information or manipulate public opinion
• Illegal Activities: Use the App for any activity that violates applicable laws or regulations
• Rights Violations: Create content that infringes on intellectual property rights, privacy rights, or other rights of third parties
• Harmful Content: Generate audio containing hate speech, explicit content involving minors, or content promoting violence

5.2 Your Responsibilities

• You must have the legal right and necessary consent to use any voice samples you input
• You are solely responsible for all content you create using Echova Studio
• You must comply with all applicable laws regarding synthetic media and AI-generated content
• You agree to clearly disclose when audio is AI-generated where required by law or context

6. Purchases and Payments

6.1 Merchant of Record

All purchases of Echova Studio Pro licenses are processed by Paddle, which acts as our Merchant of Record. This means:

• Paddle handles all payment processing, billing, and tax collection
• Your payment information is provided directly to Paddle, not to us
• Paddle is responsible for PCI compliance and payment security
• VAT, GST, and other applicable taxes are calculated and collected by Paddle based on your location

6.2 Pricing

Pro license pricing is displayed on our Website. Prices may vary by region and are subject to change. Any price changes will not affect existing purchases.

6.3 License Delivery

Upon successful payment, your license key will be delivered to the email address provided during checkout. You can activate your license within the App using this key.

7. Refund Policy

7.1 How to Request a Refund

To request a refund:

1. Email support@echovastudio.com with the subject line "Refund Request"
2. Include your purchase email address and transaction/order ID
3. Briefly let us know why you're requesting a refund (optional, but helps us improve)

7.2 Refund Processing

• Refund requests are typically processed within 5-7 business days
• Refunds are issued to the original payment method
• Upon refund approval, your Pro license will be deactivated
• You may continue using the free version of the App after a refund

7.3 Refund Exceptions

We reserve the right to decline refund requests in cases of:

• Requests made more than 30 days after purchase
• Evidence of license abuse or Terms violations
• Multiple refund requests from the same user

8. Intellectual Property

8.1 Our Intellectual Property

Echova Studio, including the App, Website, logos, trademarks, and all associated content and materials, are owned by or licensed to us. These Terms do not grant you any rights to our intellectual property except for the limited license to use the App as described herein.

8.2 Your Content

You retain all rights to the content you create using Echova Studio, including text inputs, voice samples you provide, and generated audio output. We claim no ownership over your content.

8.3 AI Models

The AI models included with Echova Studio are provided under license for use within the App only. You may not extract, copy, or redistribute the AI models separately from the App.

9. Privacy

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your information. By using Echova Studio, you consent to our data practices as described in the Privacy Policy.

10. Disclaimers

10.1 "As Is" Basis

ECHOVA STUDIO IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 No Guarantee

We do not guarantee that:

• The App will meet your specific requirements
• The App will be uninterrupted, timely, secure, or error-free
• The results obtained from using the App will be accurate or reliable
• AI-generated voice output will be indistinguishable from human speech

10.3 AI Output Quality

AI voice generation technology is continually evolving. Output quality may vary based on input quality, hardware capabilities, and other factors. You are responsible for reviewing and approving all generated content before use.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE OPERATOR, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenue, data, or business opportunities
• Any damages arising from your use or inability to use the App
• Any damages arising from content created using the App
• Any damages exceeding the amount you paid for the App in the 12 months preceding the claim

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless the Operator and its affiliates, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of Echova Studio
• Your violation of these Terms
• Your violation of any rights of third parties
• Content you create using the App

13. Term and Termination

13.1 Term

These Terms remain in effect until terminated by either party.

13.2 Termination by You

You may terminate these Terms at any time by ceasing to use the App and deleting all copies from your devices.

13.3 Termination by Us

We may terminate or suspend your license immediately, without prior notice, if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Attempt to circumvent license restrictions
• Use the App in ways that could harm us or other users

13.4 Effect of Termination

Upon termination, your license to use the App is revoked. Sections of these Terms that by their nature should survive termination will continue to apply.

14. Updates and Changes

14.1 App Updates

We may release updates to the App from time to time. While we strive to maintain backwards compatibility, some updates may require you to update your operating system or hardware.

14.2 Terms Updates

We reserve the right to modify these Terms at any time. We will update the "Last updated" date and, for material changes, notify you via email or through the App. Continued use of the App after changes constitutes acceptance of the modified Terms.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Operator regarding Echova Studio.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.

15.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

15.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.

15.5 Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.
